As CLO, you will work directly with the CEO, Board of Directors, and strategic partners to ensure our token, equity, and operational activities remain compliant with U.S. and international laws. You’ll help shape the legal foundation of a groundbreaking project integrating utility tokens, decentralized voting, encrypted messaging, and real-world use cases.


Success in this role means keeping the company ahead of regulatory expectations, supporting investor transparency, and advising on the structure and timing of public fundraising initiatives (including potential Reg CF or Reg A+ offerings under evaluation).

Responsibilities

  • Serve as the company’s senior legal advisor across all functional areas
  • Lead or oversee SEC-related filings (Form D, Form C, Form 1-A), if/when initiated
  • Review token sale materials, whitepapers, and smart contracts for legal risk and compliance
  • Advise on securities classifications, token utility design, and governance protections
  • Manage outside legal counsel and collaborate with auditors, regulators, and advisors
  • Oversee internal compliance with AML/KYC, data protection (e.g., GDPR), and intellectual property
  • Support governance policies, Board procedures, and investor disclosures
  • Draft and negotiate legal documents, including subscription agreements, terms of service, and strategic partnerships

Qualifications

  • Juris Doctor (J.D.) and active license to practice law in the United States
  • 5+ years of experience in securities law, preferably including blockchain, fintech, or startup experience
  • Working knowledge of Reg D, Reg CF, Reg A+, and global token frameworks (e.g., MiCA, FINMA, MAS)
  • Familiarity with utility token compliance, smart contract legal reviews, and decentralized governance models
  • Strong research, writing, and communication skills
  • Ability to operate in a fast-moving, early-stage environment with evolving regulatory expectations
  • Prior board-level advisory or governance experience is a strong plus
